Wondering at what point the securities commission gets involved in LPs or JVs etc....



Is it ok to have a limited partnership without being registered with securities? If so at what point do they get involved? Is it based on number of investors or whether you advertise or not? I called them but they were not able to provide answers
 
I believe the securities commission only concerns themselves with publicly traded securities. The OSC is suppost to enforce the Securities Act (Ontario), so a quick read of that might answer your specific question.



I do not think the OSC would care if you and a few friends form a LP or JV, however depending on how and where you advertising it to other investors they might.



If your reading of the act is unclear then your are probably best to get a lawyer involved in your project.
